Nakamoto plans to acquire UTXO Management and BTC Inc, with a transaction price of approximately 107 million USD

The Bitcoin treasury company Nakamoto announced that it has signed a final acquisition agreement to acquire the Bitcoin media and conference organization BTC Inc, as well as the asset management firm UTXO Management, which focuses on Bitcoin-related investments. The transaction is expected to be completed in the first quarter of 2026.

According to the announcement, the acquisition will be completed in stock, with BTC Inc and UTXO shareholders collectively receiving approximately 364 million shares of Nakamoto common stock, corresponding to a total transaction value of approximately $107 million.
